We have been retained by a global industrial Software-as-a-Service (SaaS) leader to assist in their search for a strategic and experienced Head of Global Compliance. The role will lead the company’s global compliance function as the company scales operations and prepares for public markets. Additionally, the role will be critical in maturing the company’s internal controls, governance frameworks, and certifications.

Responsibilities
Responsibilities for the Head of Compliance
Global Strategy, Governance & Leadership
- Design, implement, and monitor a comprehensive global compliance program that aligns with company’s business goals and risk appetite.
- Oversee the corporate governance framework to ensure robust decision-making, transparency, and accountability across all global entities and the Board of Directors.
- Lead and mentor cross-functional compliance team located in Norway and India, fostering a culture of integrity.
- Serve as the primary subject matter expert on global regulations, including FCPA (US), UK Bribery Act, GDPR, and international trade compliance.
Digital Innovation & Scalability
- Champion the use of digital tools to modernize how traditional compliance is handled. Move away from manual, headcount-heavy processes by implementing automation and technology-driven solutions that allow the function to scale efficiently with the business.
- Continuously assess and deploy legal-tech and compliance-tech solutions that streamline workflows and reduce human error.
IPO Readiness & Public Company Controls
- Lead the compliance roadmap for an Initial Public Offering (IPO).
- Design and implement Sarbanes-Oxley (SOX) internal control frameworks; work closely with Finance and Legal to ensure financial reporting accuracy and data integrity.
- Establish post-IPO governance structures.
Security Frameworks & Certifications (ISO/SOC2)
- Oversee the maintenance and renewal of critical certifications, specifically SOC 2 Type II and ISO 27001, ensuring continuous adherence to controls.
- Proactively evaluate and implement new certifications requested by enterprise customers to unblock commercial opportunities
- Manage external audits and serve as the primary liaison with auditors and certification bodies.
Commercial Enablement & Agility
- Adopt a solution-oriented approach that balances risk mitigation with speed. Ensure compliance acts as a business enabler rather than a bottleneck, facilitating rapid deal closure and supporting revenue growth.
- Partner with Sales leadership to streamline customer assurance processes, ensuring that our compliance posture helps—rather than hinders—commercial velocity.

Education/Experience
Requirements for the Head of Compliance
- 12+ years of experience in corporate compliance, legal, or risk management, with at least 5 years in a senior leadership role.
- D or MBA .
- Proven experience in the SaaS/Software technology sector.
- Direct experience guiding a company through the IPO process and managing SOX compliance in a post-IPO environment.
- Demonstrated experience using technology and automation to scale compliance functions without relying solely on increasing headcount.
- Deep familiarity with SOC 2, ISO 27001, and enterprise risk management frameworks.
- Practical and commercial mindset.
- Ability to work independently and efficiently, often with tight deadlines, with understanding of the legal in-house role.to travel as needed for client engagements.
Preferred Experience
- Demonstrated success managing distributed teams across different time zones and cultures.
